Terms of Service

Effective Date: May 24th 2018

The WaterStreet Research Partners, LLC (“WSRP”) Terms of Service, together with any documents expressly incorporated by reference herein (collectively, the "Agreement") is a contract in electronic form between you ("User", "you", "your" and "yourself") and WaterStreet Research Partners, LLC. and its parents, successors, subsidiaries, affiliates and governs your access to and use of CryptoPowerRanks.com or WaterStreetRP.com, including any content, functionality, and services offered on or through the websites (collectively, the “Services”). Please read the Agreement carefully before you use our Services. By using our Services or by clicking to accept or agree to the Agreement when this option is made available to you, you affirm that you are of legal age to enter into this Agreement, and you accept and agree to be bound and abide by the terms of this Agreement, and our Disclosures/Disclaimers and Privacy Policy, which are incorporated herein by reference. If you do not want to accept the terms of this Agreement, you should not access or use the Services.

This Agreement includes an Arbitration provision that governs any disputes between you and us. Unless you opt out as described below, this provision will eliminate your right to a trial by jury and substantially affect your rights, including preventing you from bringing, joining, or participating in class or consolidated proceedings.

We may revise and update this Agreement from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posted of revised terms means that you accept and agree to the changes. You are expected to check this page so you are aware of any changes, as they are binding on you.

Access and Registration

To access and participate in the Services, User may be required to complete a registration process and create a membership account ("Account") by providing current, complete and accurate information as prompted by the registration form. Only natural persons may register for an Account. If you would like to obtain an institutional level membership, please contact us at info@WaterStreetRP.com or 612-605-7580 (option #1) for more information. User is responsible for any activities or actions under User's Account, whether or not User has authorized such activities or actions, and User must promptly notify WSRP of any unauthorized use of User's Account. WSRP reserves the right to refuse registration for any reason.

WSRP grants to User a non-exclusive, non-assignable, non-transferable membership account to access and use the Services solely for User's personal use for market research. Except as detailed above, User shall not market, sell or distribute the Services or otherwise provide the Services to any third parties including, but not limited to, placing or distributing any WSRP content on a third-party platform or utilizing the Services to direct, manage or provide paid investment advisory services without WSRP's prior written consent.

You are responsible for obtaining at your own expense all equipment and services needed to access the Services. If you are accessing the Services by a mobile device, your wireless carrier may charge you fees for data, text messaging, and other wireless access or communications services. WSRP does not guarantee that its Services can be accessed through all wireless devices or service plans or are available in all geographical locations. Additionally, some web browsers may not be capable of supporting certain content.

User acknowledges and agrees that nothing in this Agreement constitutes an undertaking by WSRP to provide updates, modifications or enhancements to the Service or to continue providing the Service, or any aspect or portion of the Service, in the future. WSRP may, in its sole discretion, change any aspect of a Service or discontinue a Service without notice. WSRP will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service (for example, for maintenance or updates), or the entire Service, to users, including registered Users.

Intellectual Property Rights

User acknowledges that all intellectual property rights and trade secrets, in and to the Service including the "Look and Feel" and other elements of the Service belong to WSRP, whether or not marked. No title to the Service or content therein is transferred to User. User shall not share, transfer, disclose, copy, publish or create derivative works from the content or the Service without WSRP's prior written approval.

The look and feel and other Elements of WSRP websites and Services are protected by trademark, unfair competition, copyright, and other laws and may not be copied or imitated in whole or in part, without permission from WSRP. User acknowledges all intellectual property rights and trade secrets, in and to the Service belong to WSRP and its information providers ("Providers"), whether or not marked. All rights not granted herein are expressly reserved.

Restriction of Use of the Services

User may not present the Service in an unfair, misleading, or discriminatory manner. User will not engage in the operation of any illegal business; use or permit anyone else to use the Service, or any part thereof for any illegal purpose. Information contained within the Service is based on data obtained from recognized Providers, however, such information has not been verified by WSRP or the Provider.

To use our Services you must:

  • Comply with all applicable law and regulations and not participate in, facilitate or further illegal activities;
  • Immediately notify WSRP if you learn of a security breach or other illegal activity on the Services;
  • Protect your Account name and password;
  • Not engage in activity that is harmful to WSRP, our customers or members, advertisers, affiliates, or vendors;
  • Not use any automated process to access or use the Service or any process, whether automated or manual, to capture data or content from the Service or circumvent any mechanisms for preventing the unauthorized reproduction or distribution of the Service for any reason; and
  • Not use the Service or any process to damage, disable, impair, or otherwise attack the Service or the networks connected to the Service.
  • Not disassemble or reverse engineer or attempt to derive or interfere with the underlying code.

Confidential Information

User acknowledges that the Services and all content therein is considered confidential and proprietary information belonging to WSRP. WSRP confidential information includes, but is not limited to, all nonpublic information regarding WSRP, its intellectual property, indices, reports, ranks, formulas, metrics, or any information that, if disclosed, might be competitively detrimental to WSRP. User shall use the same standard of care that it uses to protect User's own confidential or proprietary information, but no less than a reasonable standard of care, to prevent the unauthorized use, dissemination or publication of the confidential or proprietary information. The duties in this Section do not apply to information which when compiled and presented in this form is: (1) lawfully within User's possession, prior to entering this Agreement; (2) voluntarily disclosed to User by a third-party so long as the third party does not breach any obligation to WSRP not to reveal such information; (3) voluntarily disclosed to the public by WSRP; (4) generally known to the public; or (5) disclosed pursuant to the lawful requirement of a court or governmental agency or where required by operation of law. The obligation of non-disclosure shall survive for as long as WSRP treats the information disclosed to User as confidential.

Except as authorized by WSRP’s prior written consent, User shall not use the names "WaterStreet Research Partners, LLC", "WSRP”, PowerIndices™, PowerReports™, Crypto PowerRanks™, PowerRanks™, PowerIndicators™, PowerBenchmark™, or any other of WSRP names, marks, trademarks or copyrights in any advertising or promotional media without the prior written consent of WSRP.

Membership Payments

The price charged for the Services will be the price in effect at the time of registration or renewal, for the duration of the subscription term you select, and will be set out in your confirmation email. All membership payments are final. All membership subscriptions are setup with automatic recurring payments. If not canceled in your user profile, payments will continue. WSRP does not provide refunds. In addition, User is responsible for any and all sales, use and excise taxes, and any other similar taxes, duties, charges, or assessments (other than taxes imposed on the net income of WSRP) imposed by any foreign or domestic, national, state, provincial or local government bodies or subdivisions thereof, and any penalties or interest relating to the provision of the Service to User.

We strive to display accurate price information, but we may, on occasion, make typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences. We use a third party payment processor for all purchases. You represent and warrant that (i) the credit card information you supply to our third party payment processor is true, correct, and complete; (ii) you are duly authorized to use such credit card for the purchase; (iii) charges incurred by you will be honored by your credit card company; and (iv) you will pay charges incurred by you.

Termination of Membership

Recurring payments may be terminated by User by going to the “View Profile” section on the WSRP website and canceling recurring payments. Alternatively, you may contact WSRP by email at: clientservices@cryptopowerranks.com to request account termination. This will terminate your paid membership at the end of your current billing cycle. WSRP does not issue refunds for partial periods. Effectively, a 30-day termination notice is required. WSRP may terminate this Agreement without prior notice to you at any time for any reason including, but not limited to, User's breach of any term of this Agreement.

General Disclaimers and Disclaimer of Warranties

Nothing contained within the Service should be construed as an offer or solicitation to buy or sell any investment whatsoever. This Service does not attempt to examine all the facts and circumstances which may be relevant to any company, industry, cryptocurrency or token mentioned herein. You agree WSRP is not soliciting or recommending any action based on this Service. All content in our services is for general information purposes only. By accepting this Agreement, you affirm that you have read and understand our Disclosures/Disclaimers.

This Service does not constitute a personal recommendation or take into account the particular investment objectives, financial situations, or needs of any investor. Before acting on any analysis, advice or recommendation (express or implied) in this Service, clients should consider whether the security or strategy in question is suitable for their particular circumstances and should seek professional advice from an investment advisor. You agree WSRP in providing this Service, has not and is not acting as your fiduciary, nor have they provided you with advice with respect to any particular investment decisions. You agree this service will not act as the primary basis for investment decisions and nothing in or part of the Service or website is a recommendation, solicitation to buy, sell, or hold cryptocurrency, coins, tokens, stocks, securities, currency, bonds, or any other financial instrument. WSRP does not provide tax, legal, investment, financial or other advice and nothing in its services should be construed as such. All investors are strongly advised to consult with their financial, tax, and other professional advisers regarding any potential investment. Certain transactions, including those involving cryptocurrency, coins, or tokens, or futures or trading on exchanges give rise to substantial risk and are not suitable for all investors. Several regulatory bodies, including the SEC and CFTC, have expressed concerns with the volatility of the market and the actions of sponsors of specific cryptocurrencies and exchanges. All investors should familiarize themselves with the public notices available to all market participants.

By using our services, you agree that investing, trading, or interacting with cryptocurrency, coins, or tokens, requires a high level of sophistication. Furthermore, you agree that you are solely responsible for all your actions or inactions and selections, use and management of exchanges, wallets, platforms, or other interfaces.

Opinions expressed in the Service are our opinions as of the date of their publishing within the Service. WSRP does not intend to and will not endeavor to update the information discussed in this Service.

WSRP, its affiliates, officers, directors, partners and/or other associated persons may own assets mentioned in this service, or close equivalents. Even if WSRP does not currently hold the asset, it may in the future. WSRP may elect to buy or sell these assets or change its opinion without regard to this Service, and without prior notice.


Limitation of Liability


Notwithstanding any other term or condition of this Agreement, WSRP shall not be obligated to perform or observe their obligations undertaken in this Agreement if prevented or hindered from doing so by circumstances beyond its control. WSRP uses data from third party sources and is not liable for inaccuracies, adjustments, or backdated corrections which may result in changes to calculations inside of the rules-based indices, reports, and other data presented in the Service. WSRP disclaims all liability for, and shall have no liability to you or any other party for, errors, inaccuracies, unreliability, or omissions in, or the misuse or misinterpretation of, or actions taken or not taken based on any data or information contained in the Services even if the result of our negligence.


User will indemnify and hold harmless WSRP and its employees, officers, directors, providers and other agents from any and all claims and losses imposed on, incurred by or asserted as a result of or related to: (a) any non-compliance by User with the terms and conditions hereof; or (b) any third-party actions related to User's receipt and use of the Services and content, whether authorized or unauthorized under the Agreement. Any cooperation by WSRP in such defense is without waiver of any attorney-client, work product, or other legal privileges.

WSRP shall indemnify and hold harmless the User against any claims and losses imposed on, incurred by or asserted as a result of any alleged infringement or misappropriation by the Service of any third parties' U.S., European Community, Middle Eastern or Asian Community intellectual property rights up to $100.00. WSRP's obligations to indemnify under this Section shall be conditioned on the following: (1) User shall promptly, but, in any event, in a time frame that does not prejudice the rights of User or WSRP, notify WSRP in writing of the claim, action or allegation; and (2) WSRP shall have sole control of the defense and related settlement negotiations. WSRP shall not have the obligation to indemnify and hold User harmless for any claims and losses imposed on, incurred by or asserted against User as a result of any allegation of infringement or misappropriation if the Service has not been used in accordance with this Agreement.

All notices and other communications required under this Agreement shall be in writing and shall be directed to: WaterStreet Research Partners, LLC 5900 Rowland Road, Minnetonka, MN 55343, Attn: Account Administrator. Notice shall be deemed to have been duly given upon actual receipt by a party, or upon constructive receipt if sent by certified mail, postage pre-paid, return receipt requested, at such address or any other address, as any party hereto shall hereafter specify by Notice to the other party hereto.


This section affects rights that you may otherwise have. It provides for resolution of most disputes through arbitration instead of jury trial and class actions. Arbitration does not use a judge or a jury. Arbitration is final and binding and subject to only very limited review by a court. Please review this section carefully.

This provision encompasses all disputes or claims arising out of or relating to these terms, your use of the Services, and your relationship with WSRP. Any dispute will be resolved by binding arbitration; except that either of us may take claims to small claims court of they qualify for hearing by such a court.


Notwithstanding the above, you may choose to pursue your claim in court if you opt out of this provision within thirty (30) days from the earliest date you registered for Services (the “Deadline”) after these terms have gone into effect. You may opt out by sending us a written notice that at the following address: WaterStreet Research Partners, LLC 5900 Rowland Road, Minnetonka, MN 55343, Attn: Account Administrator. Any opt-out not received within three (3) days of the Deadline will not be valid and you must pursue your claim in arbitration or small claims court.

Arbitration Procedures

For all disputes (whether pursued in court or by arbitration), you must first send a written description of your claim to WSRP to allow us an opportunity to resolve the dispute. You and we agree to negotiate your claim in good faith. If the dispute is not resolved within sixty (60) days, you may request arbitration.

The arbitration of any dispute or claim shall be conducted in accordance with the rules of the American Arbitration Association (“AAA”), including the AAA’s Consumer Arbitration Rules as modified by these terms. The AAA Rules and information about arbitration and fees are available online at www.adr.org. These terms evidence a transaction in interstate commerce and this arbitration provision will be interpreted and enforced in accordance with the U.S. Federal Arbitration Act and federal arbitration law, and not governed by state law. The arbitration will be conducted in the English language. The arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief to the extent required to satisfy your claim. Any arbitration shall be confidential, and neither you nor we may disclose the existence, content, or result of any arbitration except as required by law or for purposes of enforcement of the award. Judgment on any award may be entered in any court having proper jurisdiction.

Arbitration Costs

Each party will bear its own expenses, including attorney’s fees and filing fees.

Jury and Class Action Waivers

You and we agree that any proceeding, whether in court or in arbitration, will be conducted only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is unenforceable, the arbitration agreement will be void as to you. If you exercise the Opt-Out as specified above, this class action waiver provision will not apply to you. Neither you nor any other user can be a class representative, class member, or otherwise participate in a class, consolidated or representative proceeding without having complied with the Opt-Out process described above. If for any reason a claim proceeds in court rather than through arbitration, you hereby waive any right to a jury trial.


No failure on the part of any of WSRP or User to exercise, no delay in exercising, and no course of dealing with respect to any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or privilege preclude any other or further exercise thereof or if the exercise of any person or circumstance, shall to any extent be held invalid or unenforceable, the remainder of this Agreement, or the application of such terms or provisions to persons or circumstances other than those as to which they are held invalid or unenforceable, shall not be affected thereby and each such term and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law.

The terms of this Agreement apply to those obligations that survive any cancellation, termination, or rescission, namely, obligations relating to, Intellectual Property, Limitation of Liability, Indemnification, Warranties, Confidentiality and Restrictions on Use of the Services.

This Agreement shall be deemed to have been made in the United States in the State of Minnesota and shall be construed and enforced in accordance with, and the validity and performance hereof shall be governed by, the laws of the State of Minnesota, without reference to principles of conflicts of laws thereof. PLEASE NOTE THAT BY AGREEING TO THESE TERMS OF SERVICE, YOU ARE: (1) WAIVING CLAIMS THAT YOU MIGHT OTHERWISE HAVE AGAINST US BASED ON THE LAWS OF OTHER JURISDICTIONS, INCLUDING YOUR OWN; AND (2) IRREVOCABLY CONSENTING TO THE EXCLUSIVE JURISDICTION OF, AND VENUE IN, THE STATE OF MINNESOTA OVER ANY DISPUTES OR CLAIMS YOU HAVE WITH US.

This Agreement, constitutes the entire Agreement between the parties with respect to the subject matter hereof, and supersedes all prior negotiations, communications, writings, and understandings. If a court of law finds that any provision of this Agreement is invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
